Please read these Terms of Service carefully before using the Chris Michaels Management website or engaging our services.

1. Acceptance of Terms

By accessing or using the Chris Michaels Management website and services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services. These Terms apply to all visitors, users, clients, and talent represented by Chris Michaels Management ("CMM," "we," "us," or "our").

2. Description of Services

Chris Michaels Management provides talent representation, brand partnership facilitation, career development consulting, and related services for content creators, influencers, and models ("Talent"). We also provide brand partnership and influencer marketing services to companies and brands ("Brands"). The specific services provided to any individual or entity are governed by a separate representation or service agreement.

3. Eligibility

To apply for or use our Services, you must be at least 18 years of age. If you are under 18, a parent or legal guardian must agree to these Terms on your behalf. By using our Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into a binding agreement.

4. Application and Representation

Submitting an application through our website does not guarantee representation. CMM reserves the right to accept or decline any application at its sole discretion. If accepted, representation will be governed by a separate, written representation agreement. CMM is not obligated to secure any minimum number of partnerships, bookings, or opportunities for any Talent.

5. Commission and Fees

CMM's commission structure and any applicable fees are set forth in your individual representation agreement. Generally, CMM earns a commission on brand deals and partnerships negotiated on your behalf. Commissions apply to all deals sourced by CMM during the term of the agreement, and may apply to deals with introduced brands for a specified period after termination, as detailed in your agreement.

6. Intellectual Property

All content on this website, including text, graphics, logos, images, and software, is the property of Chris Michaels Management or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on this site without our prior written consent. Talent retains ownership of their original content; however, by working with CMM, Talent grants us a limited license to use their name, likeness, and content for promotional and pitch purposes.

7. User Conduct

You agree not to use our Services to: (a) violate any applicable laws or regulations; (b) infringe the intellectual property rights of others; (c) transmit harmful, fraudulent, or misleading content; (d) interfere with or disrupt the integrity or performance of our Services; or (e) engage in any conduct that could damage CMM's reputation or relationships with brands and partners.

8. Confidentiality

You may have access to confidential information in connection with your relationship with CMM, including deal terms, brand rates, client lists, and business strategies. You agree to keep all such information strictly confidential and not to disclose it to any third party without CMM's prior written consent, both during and after your relationship with CMM.

9. Disclaimer of Warranties

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied. CMM does not warrant that our Services will be uninterrupted, error-free, or that any specific results will be obtained from use of the Services. We make no guarantees regarding brand deal volume, earnings, or career outcomes.

10. Limitation of Liability

To the fullest extent permitted by applicable law, CMM shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of our Services. CMM's total liability for any claim arising from these Terms or our Services shall not exceed the total commissions paid to CMM by you in the three months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless CMM and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of our Services; (b) your violation of these Terms; (c) your content or conduct; or (d) your breach of any representation or warranty.

12. Termination

CMM reserves the right to suspend or terminate your access to our Services at any time, for any reason, with or without notice. Termination of representation is additionally governed by your individual representation agreement. Provisions that by their nature should survive termination (including intellectual property, confidentiality, disclaimer, and limitation of liability) will survive.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any disputes arising under these Terms shall first be subject to good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Los Angeles, California, under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

14. Changes to These Terms

CMM reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a revised effective date. Your continued use of our Services after any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must discontinue use of our Services.
